Privacy Terms
DRAFT. Not yet reviewed by counsel. This document describes the intended terms and may change before it takes effect.

Terms of Use

Draft. Last edited 12 July 2026.

These terms cover downloading and using Cyrano ("the app"), a macOS and iOS conversation copilot, and this website. Cyrano is made by Fimbriata R&D Services, LLC, a Florida limited liability company ("FR&D", "we", "us"). By using the app you agree to what follows. If you don't agree, don't use it.

Recording other people is your legal responsibility

Cyrano transcribes conversations, including what other people say. In many places that is legally a recording, and recording without the required consent can be a crime and a basis for civil liability.

Consent rules vary sharply by jurisdiction. Several U.S. states, including California, Florida, Illinois, Maryland, Massachusetts, Pennsylvania, and Washington, require all parties to a private conversation to consent before it may be recorded. Many countries outside the U.S. have their own recording, wiretap, and data-protection laws that apply to transcription just as they do to audio recording. Calls can cross jurisdictions, in which case the stricter rule may apply.

You are solely responsible for knowing and complying with every law that applies to your use of Cyrano, including obtaining any legally required consent from every participant before you start a session. This applies with particular force to the Mac app's optional system-audio capture, which can capture the other side of a call: it is off by default and gated behind an explicit opt-in, and you must not enable it for any conversation unless you are legally entitled to record that conversation.

The app's consent screens, visible session indicators, and redaction tools are aids, not legal advice, and using them does not by itself make a recording lawful. We do not and cannot verify that participants in your conversations have consented.

You agree to indemnify and hold us harmless from any claim arising out of your recording, transcription, or analysis of any conversation without legally sufficient consent, or otherwise in violation of applicable law.

The license

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control. The app itself is free to download, and the on-device features are free to use forever. The copilot's analysis features are available either by bringing your own key on a backend you run (free from us) or through a paid hosted subscription (below). You may not resell or redistribute the app as your own, decompile or reverse-engineer it except where that restriction is prohibited by law, or remove proprietary notices. We retain all rights not expressly granted here.

Bring your own keys: your accounts, your costs

If you run the copilot on your own backend, it requires infrastructure and API accounts that you provide and operate: a Cloudflare account running your own backend worker, an Anthropic or OpenRouter API key, and optionally an ElevenLabs API key. Accordingly:

  • You bear all fees charged by Cloudflare, Anthropic, OpenRouter, ElevenLabs, or any other provider you connect. LLM analysis runs on your key; usage-based charges are yours.
  • Your use of those services is governed by your agreements with those providers. We are not a party to them and are not responsible for those providers' pricing, availability, data handling, or conduct.
  • The app and backend include engineering safeguards against runaway spend (analysis gating, output caps, a per-session spending ceiling). These are best-effort safeguards, not a guarantee. You are responsible for monitoring your own API spend and setting limits with your providers.
  • Your self-hosted backend is yours. We have no access to it and no obligation to operate, monitor, secure, back up, or support it. You are responsible for keeping your bearer token, API keys, and agent keys secret, and for the consequences if they leak.

Hosted subscription

Alternatively, you can subscribe to the hosted copilot, which runs on our backend and our LLM key. If you do:

  • Billing. Where you subscribe directly from us, subscriptions are billed in advance through our payment processor, Stripe, on the plan you choose (monthly or annual). Prices are shown at checkout; taxes are added where they apply. Your card details are handled by Stripe, not stored by us. Subscriptions bought inside the app on the App Store are billed by Apple instead, on the terms in the next section.
  • Renewal and cancellation. Subscriptions renew automatically until you cancel. You can cancel at any time; access continues to the end of the paid period, and we don't provide pro-rated refunds for partial periods except where required by law.
  • Fair use. The hosted tier applies per-account usage limits to prevent abuse and runaway cost. If you need volume beyond that, run your own backend with your own key, which has no such cap.
  • Data handling on the hosted tier is described in the Privacy policy: transcript text transits our server to generate the analysis, is never logged, and is deleted at session end unless you pin it. Audio never reaches our server on any tier.

Subscriptions bought through the App Store

If you subscribe from inside the app on the Mac App Store or the iOS App Store, Apple is the merchant and these terms apply in place of the Stripe billing terms above:

  • Payment. Payment is charged to your Apple Account at confirmation of purchase, at the price and billing period shown on the purchase screen.
  • Automatic renewal. The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for the renewal within the 24 hours before the current period ends.
  • Managing and cancelling. You can manage the subscription and turn off auto-renew in your Apple Account settings. Cancelling stops the next renewal; access continues to the end of the period you have already paid for. We cannot cancel an App Store subscription on your behalf.
  • Refunds. Refunds for App Store purchases are handled by Apple under Apple's policies, not by us.
  • Everything else in these terms, including fair use, the data handling described in the Privacy policy, the warranty disclaimer, and the limitation of liability, applies to App Store subscriptions the same way.

Acceptable use

Use the app lawfully. Do not use it to surveil people, to record conversations you are not a party to or not legally entitled to record, to harass, or to violate anyone's privacy or data-protection rights. Do not attempt to disrupt this website or interfere with other people's use of the app.

Analysis output is not advice

The copilot's output, including extracted commitments, asks, subtext observations, suggestions, and whispers, is generated by a language model and can be wrong, incomplete, or mislabeled. Subtext observations are explicitly speculative and labeled as such. Do not treat any of it as a factual record or as professional, legal, medical, or financial advice; the transcript and your own judgment control.

Updates and lifecycle

We may release updates that change, add, or remove features, and we are under no obligation to provide updates, maintain compatibility with any future operating-system release, or continue producing the app for any length of time. Because the free tier is fully on-device and the bring-your-own-key copilot runs on infrastructure you control, discontinuation of this website or of our development work does not, by itself, disable an installed copy of those tiers. The hosted subscription is the exception: it depends on our servers, so if we discontinue it we will stop charging for it, and you can fall back to the free on-device tier or run your own backend. We make no guarantee that any part of the app will remain functional indefinitely.

Warranty disclaimer

The app and website are provided "as is" and "as available," with all faults and without warranties of any kind, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that transcription or speaker labeling will be accurate, that analysis output will be correct, that the app will be uninterrupted, error-free, or secure, or that it will meet your requirements.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, or for any API or infrastructure charges you incur, or for any legal consequences of recordings you make, arising out of or related to the app or these terms, under any theory of liability, even if advised of the possibility. Our total aggregate liability for all claims relating to the app will not exceed the greater of the amount you paid us in the twelve months before the claim (which, if you use only the free or bring-your-own-key tiers, is USD $0) or USD $50. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you; nothing here excludes liability that cannot be excluded under applicable law.

Termination

These terms apply for as long as you use the app. Your license ends if you breach them. You may stop using the app at any time; your self-hosted backend and the data on it remain yours to keep or delete. If you have a hosted subscription, cancelling stops future billing and ends hosted access at the close of the paid period, and any transcript we held transiently is already gone under the retention rules in the Privacy policy.

Governing law & venue

These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules, and disputes belong exclusively to the courts located there. Mandatory consumer-protection rights in your place of residence still apply where they cannot be excluded by agreement.

Changes

We may update these terms. When we do, we'll revise the date above and, for material changes, note it on this site. Continued use after a change means you accept the revised terms.
